CHANNEL TECHNOLOGY, INC. TERMS AND CONDITIONS
All sales from Channel Technology, Inc. to purchaser are subject to the following terms and conditions:
LIMITED PRODUCT WARRANTIES
Channel Technology, Inc. warrants to the original purchaser that the purchased products will meet applicable specifications, as set forth by the manufacturer, and to be free from defects in materials and workmanship under normal use and service.
Channel Technology, Inc. manufactured PC systems and servers, purchased with an operating system, carry a 15-day money back guarantee and a two-year full parts and depot labor policy. Any systems purchased without an operating system, carry a 7-day money back guarantee and a one-year parts and depot labor policy. The manufacturer's return policy on component parts may apply. After 15 days Channel Technology, Inc. will repair or replace components only, no credits will be issued.
A new warranty period shall not be established for any replacement products, and such replaced products shall be warranted only for the remainder of the original warranty period. Replacement parts may be new or equivalent to new at the discretion of Channel Technology, Inc. The warranties contained herein do not cover any damage due to accident, misuse, abuse, negligence, acts of war or God, electrical problems or lack of preventative maintenance. Channel Technology, Inc. assumes no responsibility for customers data. All such warranty work may be performed at Channel Technology Inc.'s Buffalo, NY location and requires an RMA number (see Product Returns below). Shipping costs for returning parts or systems to Channel Technology Inc. are not refundable.
In no event will Channel Technology, Inc. be liable for any indirect, special, incidental or consequential damages even if Channel Technology, Inc. has previously been advised of the possibility of such damages. The warranties contained herein are in lieu of all other warranties expressed, implied or statutory, including the warranties of merchantability and fitness for a particular purpose. Except for damage due to Channel Technology, Inc. negligence or willful misconduct, the limitation of Channel Technology Inc. total liability hereunder shall not exceed the total amount paid to Channel Technology, Inc. under this invoice.
This Limited Warranty gives specific legal rights; one may also have other rights, which vary from state to state. Some states do not allow for the exclusion of the consequential damages or the limitation on duration of implied warranties; accordingly, the exclusions and limitation contained herein may not be applicable in some circumstances.
THIRD PARTY AND SPECIAL ORDER ITEMS
Special order items are covered by the warranty and terms of the manufacturer. Sales on special order items and merchandise are final – no refunds will be granted by Channel Technology, Inc. Sales on discontinued items have no warranty, but may be returned to Channel Technology, Inc. within seven (7) days for a full refund. The manufacturer for software included in or relating to the products purchased hereunder has supplied any warranty. Channel Technology, Inc. makes no representation or warranty, either express or implied, including the warranty of merchantability and warranty offers for a particular purpose, with respect thereto, and shall have no connection there within.
USE AND ADVICE
Products sold by Channel Technology, Inc. are not designed for use in life support equipment where malfunction of such product can be reasonably expected to result in personal injury. Purchasers using or selling such products for use in life support equipment do so at their own risk and agree to fully indemnify Channel Technology, Inc. and the manufacturer of such products for any damages resulting from such use or sale.
If technical advice is offered or given in connection with the use of any products, it will be as an accommodation to purchaser and without charge, and Channel Technology, Inc. shall have no responsibilities or liability ties whatsoever for the content or use of such advice.

If technical advice is offered or given in connection with the use of any products, it will be as an accommodation to purchaser and without charge, and Channel Technology, Inc. shall have no responsibilities or liabilities whatsoever for the content or use of such advice.
TERMS OF PAYMENT
Channel Technology, Inc. currently offers terms to schools, governments, and Fortune 1000 companies with approved purchase orders. Channel Technology accepts Master Card, Visa, and American Express without any surcharge. Personal and company checks and C.O.D. Orders are subject to approval prior to shipping. If a check is returned due to insufficient funds, or for any other reason, drawer will be charged fifty dollars ($50.00) to cover bank charges and administration fees. In the event legal or collection efforts are required to secure payment on an account, then purchaser shall pay all costs of collection and or legal fees. Purchaser agrees to pay all taxes, however designated, levied or based, on the sales price payable by Channel Technology, Inc. in retrospect thereto.
SHIPPING
Shipping charges are prepaid to the carrier, charged on the purchaser's invoice, and are not refundable. Channel Technology, may ship partial orders unless specified otherwise at the time of order. Claims for missing items must be made within threes days of delivery of the order. It is the purchaser's responsibility to report to the shippers any packages that arrive damaged, as the shipper must inspect the carton and issue a claim number. Channel Technology, Inc. shall not be liable for any failure or delay in the performance of orders, or in the delivery or shipment of products, or for any damaged suffered by purchaser by reason of such delays or failure. Channel Technology, Inc. reserves the right at its sole discretion to allocate among purchasers or potential purchasers, or defer or delay the shipment of, any product, which is in short supply.
TITLE
Title to the products sold hereunder will be deemed to pass only to purchaser upon full, and complete and final payment of the products. In the event of the purchaser's default in payment for the products, purchaser shall be responsible for all costs and expenses incurred by Channel Technology, Inc. in collection of any sums owing by purchaser and Channel Technology, Inc. shall not be obligated to make any further deliveries to purchaser. Such costs and expenses shall include, but not be limited to, reasonable attorney's fees, collection fees and court costs.
PRODUCT RETURNS
A Return Merchandise Authorization (RMA) number must be issued before any product may be returned to Channel Technology, Inc. Shipping costs are not refundable. To obtain an RMA number, the purchaser must call Channel Technolog Inc.'s technical support department at 716-871-0173. The original invoice number and description of the problem must be included. Channel Technology, Inc. will issue an RMA number where appropriate. The number must be displayed clearly on the outside of the shipping package. RMA numbers are good for fifteen (15) days from the date of an issue and RMA products must be received freight prepaid; Channel Technology, Inc. will not accept C.O.D. RMA returns. Products being returned for credit must include complete packaging, manuals, cables, etc. if any of these items are missing or damaged, credit may not be issued, and a re-stocking fee may be charged.
GOVERNING LAW AND FORUM, QUESTIONS
Any dispute regarding the interpretation or validity hereof shall be governed by the State of New York without regard to its conflicts of the law. Channel Technology, Inc. and purchaser hereby agree that any dispute relating to the terms and conditions of sale furnished hereunder shall be subject to the jurisdiction of the courts of Erie County, New York.
